Choosing a company type
The most common choices for new businesses are a private limited company (two or more members) and a single member company (SMC), which is a private company with one member. Other forms include public companies, companies limited by guarantee and limited liability partnerships. Read our guide to SECP company types, or compare structures in choosing a business structure.
Who typically needs this
- Founders who want a separate legal entity with limited liability
- Businesses planning to raise investment or bring in partners as shareholders
- Sole proprietors converting to a company as they grow
- IT and services businesses that may later seek PSEB registration
Documents and information usually required
- Proposed company names (in order of preference) and a description of principal business activity
- CNICs (or passports for foreign nationals) of all subscribers and directors
- Contact details and addresses of subscribers and directors
- Registered office address
- Shareholding and capital details
- Details for the memorandum and articles of association
The exact list depends on your circumstances. We confirm it on WhatsApp before any submission.
How the process works
Structure and name
We discuss the right company type and check name availability, then apply for name reservation with SECP.
Incorporation documents
We prepare the incorporation application, memorandum and articles of association, and director/subscriber details.
Online filing
The application is submitted through SECP’s online system and the prescribed fee is paid.
Certificate and next steps
On approval SECP issues a certificate of incorporation. We then guide you on NTN, bank account and ongoing statutory filings.
Important considerations
- Companies have ongoing SECP obligations such as annual returns and notifying changes to directors or shareholding.
- Certain business activities need additional licences or SECP/regulatory approvals.
- A company is a separate taxpayer and files its own income tax return — see income tax return filing.

WhatsApp usFrequently asked questions
Can one person register a company?
Yes. A single member company (SMC) is a private company with one member. It must nominate persons as required by SECP’s rules.
What is the difference between a company and a sole proprietorship?
A company is a separate legal entity with limited liability; a sole proprietorship is not separate from its owner. See sole proprietorship registration.
Does SECP registration give the company an NTN?
The company is a separate taxpayer and needs its own FBR registration. We confirm the current procedure and complete it as part of the post-incorporation steps.
